WellNest L.L.C Terms of Service and End User License Agreement

Welcome to WellNest.
These Terms of Service and End User License Agreement are a legal agreement between you and WellNest L.L.C. (“WellNest,” “we,” “us,” or “our”).
These Terms govern your access to and use of the WellNest mobile application and related services (the App). By creating an account or using the App, you agree to these Terms. If you do not agree, please do not use WellNest.
1. Eligibility
WellNest is intended for adults only. You must be at least 18 years old to create an account or use the App. By using WellNest you confirm that you meet this requirement and have the legal capacity to agree to these Terms.
2. Account Creation and Security
To use WellNest you must create an account using your first name username email address and password. You are responsible for keeping your login information secure and for all activity that happens under your account.
If you believe your account has been accessed without permission contact us immediately at support@wellnestapp.com.
3. License to Use the App
Subject to these Terms WellNest grants you a limited personal non exclusive non transferable and revocable license to download install and use the App for your own non commercial use.
You may not copy modify distribute sell lease or sublicense the App or any part of it. You may not attempt to reverse engineer decompile or extract source code unless permitted by law.
All rights not expressly granted to you remain with WellNest. This license automatically ends if you violate these Terms.
4. Acceptable Use and Community Conduct
WellNest is built to be a supportive respectful and welcoming space.
By using the App you agree that you will not harass threaten bully or harm others. You will not post hateful discriminatory or abusive content. You will not share spam advertisements or misleading information. You will not impersonate another person or misrepresent your identity. You will not post content that infringes on intellectual property rights. You will not interfere with security features or attempt to exploit the App.
If these rules are violated we may remove content suspend features or terminate accounts. Additional expectations may be outlined in our Community Guidelines.
5. User Generated Content
You own the content you create and share on WellNest including goals photos captions and comments called User Content.
By posting User Content you grant WellNest a worldwide royalty free non exclusive license to host store display reproduce and distribute that content within the App solely to operate improve and promote WellNest.
You control whether your content is private shared with buddies or visible to the community. You may delete your User Content at any time though technical backups may remain briefly.
Social sharing
If you choose to share content outside the App including to social media platforms you grant WellNest permission to format display and share that content only as directed by you.
We will never share your content externally without your explicit action or consent.
6. Subscriptions and Payments
WellNest may offer a free trial followed by optional paid subscriptions.
All subscriptions are processed through Apple App Store In App Purchases. Pricing is currently $5.99 per month or $59.99 per year unless otherwise stated.
Apple handles all billing renewals cancellations and refunds under its own terms. We do not collect or store payment information. You can manage or cancel your subscription through your Apple ID settings.
7. Wellness Disclaimer
WellNest provides motivational organizational and community based tools only.
WellNest does not provide medical mental health psychological or therapeutic advice and is not a substitute for professional care. Always seek guidance from a qualified professional for health related concerns.
Your use of WellNest is at your own discretion and risk.
8. Account Termination
You may delete your account at any time through the App.
We may suspend or terminate access if you violate these Terms our Community Guidelines or applicable laws.
Upon termination your license to use the App ends immediately. Anonymous aggregated data may be retained as described in our Privacy Policy.
9. Intellectual Property
All content software branding design features and trademarks in the App belong to WellNest or its licensors.
Nothing in these Terms grants you ownership of any part of the App. You may not use WellNest branding without written permission.
10. Updates and Changes
We may update the App or these Terms from time to time. If changes are material we will notify you through the App or by email.
Continued use of WellNest after changes take effect means you accept the updated Terms.
11. Disclaimer of Warranties
The App is provided as is and as available.
We make no warranties express or implied including warranties of merchantability fitness for a particular purpose or non infringement. We do not guarantee that the App will always be available error free or secure.
12. Limitation of Liability
To the maximum extent permitted by law WellNest will not be liable for indirect incidental special consequential or punitive damages.
Our total liability will not exceed the greater of the amount you paid to WellNest in the past twelve months or fifty U S dollars.
13. Indemnification
You agree to defend indemnify and hold harmless WellNest its affiliates and team members from claims losses or expenses arising from your use of the App your violation of these Terms or your infringement of any rights.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware without regard to conflict of law rules.
Any dispute will be resolved through binding arbitration in Delaware except where prohibited by law. You waive the right to participate in class actions or jury trials.
15. International Users
If you use WellNest from outside the United States your information will be transferred to and processed in the United States consistent with our Privacy Policy.
16. Apple App Store Terms
These Terms apply only between you and WellNest not Apple.
Apple is not responsible for maintenance or support of the App. Apple is not responsible for addressing claims related to the App including product liability compliance or intellectual property issues.
Apple and its subsidiaries are third party beneficiaries of these Terms and may enforce them against you.
17. Changes to Features or Availability
We may modify pause or discontinue features when necessary for security performance or business reasons. We will try to give notice when reasonable.
18. Severability
If any part of these Terms is found unenforceable the remaining sections remain in full effect.
19. Entire Agreement
These Terms together with our Privacy Policy form the entire agreement between you and WellNest regarding your use of the App.
